These Terms of Service (“Terms”) govern your use of Nexum, including gonxm.com, our mobile applications, and related services (collectively, the “Service”).

The Service is provided by Nexum Travel LLC (“Nexum,” “we,” “us,” or “our”).

By accessing or using Nexum, you agree to these Terms and our Privacy Policy.

1. Nexum

Nexum is an AI-powered travel platform that helps users discover, plan, organize, share, and manage travel.

Features may include travel recommendations, itineraries, maps, weather information, calendars, collaborative planning, travel searches, and access to third-party booking services.

Nexum may add, remove, change, or discontinue features from time to time.

2. Eligibility and Accounts

You must be at least 18 years old to use Nexum.

You agree to provide accurate information, maintain the security of your account, and promptly notify us if you believe your account has been accessed without authorization.

You are responsible for activity occurring through your account.

3. AI-Generated Information

Nexum uses artificial intelligence to generate recommendations, summaries, itineraries, travel information, and other content.

AI-generated content may be inaccurate, incomplete, or outdated and should not be treated as guaranteed or professional advice.

Before making travel decisions or purchases, you should verify important information—including prices, schedules, availability, weather, visa or entry requirements, safety information, loyalty-program information, and booking details—with the relevant travel provider or government authority.

4. Travel Bookings and Third Parties

Nexum may help you discover, compare, or access flights, accommodations, rental cars, activities, restaurants, and other travel products provided by third parties.

Unless Nexum expressly states otherwise, the travel product is provided by a third-party airline, hotel, booking platform, travel agency, rental company, activity provider, or other supplier (“Travel Provider”), not Nexum.

A booking may redirect you to a Travel Provider or may be facilitated through technology provided by a Travel Provider.

The Travel Provider’s terms govern the applicable booking, including payment, pricing, availability, cancellations, changes, refunds, credits, fulfillment, and customer service.

Nexum is not responsible for the acts, omissions, availability, pricing, performance, cancellations, delays, or services of a Travel Provider except where applicable law requires otherwise.

5. Prices and Availability

Travel prices, schedules, availability, fees, taxes, restrictions, and other information may be supplied by third parties and can change at any time.

Nexum does not guarantee that information displayed through the Service will always be complete, accurate, or current.

The final terms and price presented by the applicable Travel Provider at booking control.

6. Connected Services

You may choose to connect Nexum with third-party accounts or services.

By doing so, you authorize Nexum to access and process information covered by the permissions you grant solely as permitted by our Privacy Policy and the applicable third-party authorization.

You may disconnect supported connected services at any time.

Third-party services are governed by their own terms and privacy policies.

7. Your Content

You may submit trips, notes, comments, photos, links, messages, preferences, and other content (“User Content”).

You retain ownership of your User Content.

You grant Nexum a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, modify, display, and transmit your User Content only as reasonably necessary to operate, provide, secure, improve, and develop the Service and to provide features you request.

You represent that you have the right to provide any User Content you submit.

When you choose to share content with another user, you authorize Nexum to make that content available to the people you select.

8. Acceptable Use

You may not use Nexum to:

• violate any law or the rights of another person;
• upload malicious software or interfere with the operation or security of the Service;
• gain unauthorized access to accounts, systems, or information;
• impersonate another person or misrepresent your identity;
• scrape, crawl, copy, or systematically extract Nexum data except where expressly permitted;
• misuse the Service to distribute spam, fraud, harassment, or illegal content; or
• use Nexum in a manner that could damage, disable, overload, or impair the Service.

We may suspend or terminate access for violations of these Terms or where reasonably necessary to protect Nexum, our users, or others.

9. Nexum Intellectual Property

Nexum and its software, designs, interfaces, branding, technology, content, and other materials—excluding User Content and third-party content—are owned by Nexum Travel LLC or its licensors and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of Nexum intellectual property to you.

10. Third-Party Services

Nexum may contain links to, integrations with, or information from third-party websites and services.

We do not control those services and are not responsible for their content, availability, accuracy, privacy practices, products, or services.

Your use of third-party services is governed by the applicable third party’s terms.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

NEXUM TRAVEL LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR ACCURATE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUM TRAVEL LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR USE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO NEXUM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100.

These limitations do not apply where prohibited by law.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Nexum Travel LLC and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and reasonable expenses arising from your misuse of the Service, your User Content, your violation of these Terms, or your violation of another person’s rights.

14. Termination

You may stop using Nexum at any time.

We may suspend or terminate access to the Service if you violate these Terms, create risk or legal exposure, engage in fraudulent or abusive activity, or where reasonably necessary to protect the Service or its users.

15. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

Any dispute not otherwise required to be resolved through another legally applicable process will be brought in the state or federal courts located in North Carolina, and you consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice where required by law.

Your continued use of Nexum after updated Terms become effective constitutes acceptance of the updated Terms.

17. General

These Terms and our Privacy Policy constitute the agreement between you and Nexum regarding your use of the Service.

If any provision is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver of our right to do so later.
